1 Scope
The following terms and conditions are part of every contract between PANEON GmbH, Weissenbach 42, A-2371 Hinterbrühl, Austria, represented by its managing director Mr. Albert Pucher, based there (known as PANEON for short) and the customer.
Customers in the broader sense are also business partners of PANEON GmbH (hereinafter referred to as “partners”) who, on the one hand, purchase goods in the same way as conventional customers, and on the other hand also acquire a license to carry out marketing activities (analogous to the franchise principle). Supplementary guidelines for these Partner activities or contracts for team leaders may supplement the general terms and conditions and will be made available separately to serious applicants upon request.
PANEON provides its services exclusively on the basis of the terms and conditions and, if applicable, additional guidelines in the version valid at the relevant period.
2 Conclusion of contract
The presentation of the goods, particularly on the Internet or by a customer or freelance consultant, does not constitute a binding offer from PANEON; misprints and errors are always reserved.
A contract comes into being through
a) Customer’s signature on the completed order form
b) proper ordering by the customer via the PANEON web shop
c) informally by calling or emailing the customer to the PANEON service
d) other expressions of intent by the customer if they are made in front of witnesses, such as a consultant, and are forwarded to PANEON by the witness, such as the consultant.
Regarding d): the witness, usually the consultant, can receive orders from the customer in person, by telephone or in writing and forward them to PANEON. In this case, the witness bears the risk of a misunderstanding or a change of opinion on the part of the customer. Unless he has had the customer’s expression of intent confirmed in a reproducible form. For example, through a handwritten note from the customer or from another witness.
The risk in this case, if a customer claims not to have ordered this, is borne by the witness if statement is against statement and there is no further evidence. In extreme cases, the consultant would have to bear the costs of collecting the unwanted goods from the customer or the costs of return transport if acceptance was refused.
However, since such a situation has occurred extremely rarely in the many years of PANEON’s existence, this risk is minimal. In individual cases, PANEON will always look for a solution that is acceptable to everyone involved.
There is no doubt that the transaction is concluded when the customer confirms his wishes in writing, which is why we recommend this procedure to consultants. The order of a new customer is usually confirmed by providing his or her data, in particular the delivery address and bank details, but undoubtedly by accepting the delivery.
The customer always enters into the contract on the basis of the General Terms and Conditions. If the customer orders personally via the web shop, he or she confirms the terms and conditions when placing the order. If the order is placed through a consultant, it is the consultant’s responsibility to inform the customer about the terms and conditions and to obtain this consent without any doubt.
3 Data protection declaration
PANEON uses the data provided by the customer (title, name, address, email address, telephone number, fax number, bank details as well as additional information such as job, family, pets, living conditions) in accordance with the provisions of Austrian data protection law.
Some of the data will be passed on to the responsible supervisor as far as this is necessary in order to provide the customer with the best possible care. The customer agrees to this use. He agrees that PANEON GmbH itself, or the people responsible for his support, may contact him to inform him about products and promotions. The customer can revoke his consent to this or to the future storage and use of his data at any time.
By providing the data and confirming the terms and conditions, the customer gives consent to the above use of the data. The customer can query, change or delete the stored data at PANEON at any time and revoke his consent at any time. PANEON assumes that the customer’s information is truthful, but in case of doubt it may request the submission of documents or take other measures to verify data. If PANEON incurs damage due to negligent or intentional misrepresentation of data, PANEON reserves the right to take legal action and claim damages.
Users of the PANEON homepage and webshop as well as associated websites agree that their surfing behavior, the most popular pages and product groups accessed will be analyzed so that when they return to work, the appropriate information is offered according to their interests, thus reducing time and effort to get the desired result. Apps and cookies are also used accordingly for this purpose if necessary.
Users of the online offering agree that they will not be able to fully enjoy this service if they deactivate apps, pop-ups and cookies on their data devices, which will result in recurring additional effort.
PANEON partners who request access to the management software agree that the use of this software may cause difficulties that are customary in the industry. These cannot be ruled out by PANEON, as each constellation of computer type, operating software, browsers, and other already installed software may affect the performance and functionality.
Any loss of data or other impairment of the state of the computers of customers or partners, which is believed to or actually occurs through the use of software associated with PANEON, is the responsibility of the end user, who rejects any claim for damages under this title. The online offer and the software that PANEON offers for use, whether free of charge or for a fee, is “as is”, as a software product created to the best of our knowledge and belief and which has been carefully tested for errors or potential for damage. However, every test is incomplete and no guarantee can be given that the programs and settings will run free of errors or impairments. PANEON is very grateful for relevant information and will do everything necessary to resolve any problems that are identified as quickly as possible and make them available for use.

4 Delivery conditions
The agreed delivery can be made once or regularly until revoked.
Unless otherwise agreed in writing, delivery takes place ex warehouse by post or parcel service.
Orders that are undoubtedly correct and arrive by 10 a.m. on a working day are usually delivered to the relevant parcel service on the same or the following day, provided that all ordered products are available.
The delivery time of the parcel services is usually 3 – 6 working days (based on the working day following the order, therefore Saturdays, Sundays and public holidays extend the delivery time accordingly).
Example: If the order is placed on Tuesday, delivery will usually follow on Friday at the earliest. But it can also take until Wednesday of the following week or longer.
PANEON cannot be held responsible for the services provided by postal services or other parcel services, but can at best pass on previous experience as a guide.
Since PANEON GmbH has no influence on the delivery time, a small stock of products with reserves for at least two weeks is recommended.
This means that the customer always has enough product reserves in-house, even in the event of delivery delays, incorrect deliveries or delivery bottlenecks. PANEON cannot guarantee permanent delivery capability and therefore rejects claims for non-timely delivery of the products. In the event of delivery delays, the customer is free to cancel the contract or choose alternative products as replacements.
Changes or cancellations of the regular delivery can be made at any time online or via your personal representative up to 7 days before the agreed delivery date. Changes made within this 7-day period can only take effect for the delivery following this date.
Incorrect deliveries that were caused by PANEON’s fault are usually picked up, returned and corrected again at PANEON GmbH’s expense. Or an alternative solution is worked out in agreement with the customer and, if necessary, in collaboration with their supervisor. Incorrect orders caused by the customer himself or his supervisor, for example, due to the provision of an incorrect delivery address or an incorrect addressee, will be corrected at the cost of the person responsible.
The customer bears the risk of misunderstandings resulting from verbal or informal orders by telephone or email. Ordering using a correctly and legibly completed order form scanned by email or fax is much safer, but still carries the risk of illegible or incorrect transmission, for which PANEON GmbH cannot accept any liability. The most reliable way of ordering, which is binding for PANEON GmbH in any case, is ordering via the PANEON GmbH software system using the online shop, which can be accessed via the homepage.
This system provides the customer with immediate feedback if a product is not available, meaning the customer can choose a similar product without delay. As soon as the PANEON software system is available to customers, every customer will receive free access upon request and if the technical requirements are met (operating system: Microsoft Windows XP or higher, Internet browser: Firefox or Chrome).
If an order is placed via the PANEON software system and the delivery is nevertheless sent incorrectly, PANEON will cover the costs of correcting the delivery. The use of the software is free of charge and occurs “as is” at the customer’s own risk. Customer agrees that it will not hold PANEON liable for any events such as loss of time or data that it attributes to the use of the PANEON Software.
This does not affect the general 14-day right of withdrawal, see $8.
5 Discounts, credits, commissions:
The customer agrees that he will receive discounts (e.g. for long-term delivery) and credits (e.g. for referring friends) during the term of customer promotions. The customer can redeem credits within six months by purchasing goods from PANEON GmbH, whereby the credit shown on the customer account can be deducted from the purchase price.
Customer credits cannot be redeemed for cash. Both credits and commissions are only taken into account or paid out after a minimum limit has been exceeded. Partners can request to increase their payout limit in order to be able to purchase products with the total commissions. In this way, transfer costs and bank fees can be reduced.
6 Payment terms
Payment is made in advance, instant bank transfer, other payment services such as PayPal or credit card (depending on technical availability) or by direct debit. The purchase price is due immediately upon conclusion of the contract without deductions.
Advance payment: By placing an order without account details, the customer agrees to the advance payment procedure: After receiving the invoice, the customer transfers the exact invoice amount, stating the invoice number, to the PANEON GmbH account specified on the invoice. The delivery is triggered when the amount is credited to the PANEON GmbH account.
Direct debit: By placing an order and providing his account details, the customer agrees to the electronic direct debit procedure.
Chargeback fees that arise due to insufficient funds in the account must be borne by the customer, as well as collection fees if the goods are picked up again due to non-payment.
In the event of repeated insufficient funds in the account or other irregularities, the customer agrees to be switched to the prepayment system for future purchases. PANEON declares its intention to weigh things up in favor of customer satisfaction when assessing a situation. PANEON nevertheless asks for your understanding that in the event of payment arrears, business considerations to protect the company must be given priority.
The customer can reverse incorrect, i.e. unjustified, withdrawals at the expense of PANEON GmbH. PANEON GmbH assures that all self-inflicted errors in payment transactions will be corrected to the customer’s satisfaction at the earliest possible date, usually within one month. PANEON GmbH grants customers a 14-day right of return. This applies to unopened, originally packaged goods. The delivered goods remain the property of PANEON GmbH until full payment has been made.
Regardless of the payment method chosen, especially if the originally chosen payment method fails, the customer is responsible for ensuring that all amounts due are received by PANEON no later than 21 days after receipt of the payment request.
All prices include statutory sales tax.
All shipping costs, in particular packaging, transport costs, transport insurance and deliveries, unless otherwise agreed separately in writing, are at the customer’s expense. All prices and additional costs are calculated in accordance with the price lists used by PANEON at the time of provision and dispatch.
In the event of late payment, the customer is obliged to pay PANEON default interest of 5 percentage points above the base interest rate if he is a consumer (§ 13 BGB). If the customer is an entrepreneur (Section 14 BGB), Section 5 Paragraph 5 Sentence 1 applies with the proviso that the default interest rate is 8 percentage points above the base interest rate.
PANEON remains at liberty to prove higher damage caused by the delay, as well as other damage.
The customer is only entitled to offset if the counterclaims are undisputed or legally established.
Retention of title: The goods remain the property of PANEON until full payment has been made.
7 Warranty
With regard to the warranty, the statutory provisions apply unless otherwise agreed in Section 7.
The limitation period for claims arising from liability for material defects is 24 months and begins with the handover of the purchased item. If the customer is an entrepreneur (§ 14 BGB), the deadline is 12 months from the handover of the item.
The legal regulations, inspection and notification obligations according to the German Commercial Code (HGB) apply to merchants.
8 Cancellation policy
Information on the right of withdrawal and instructions:
Right of withdrawal
As a consumer within the meaning of § 13 BGB, you can revoke your contractual declaration within 14 days without giving reasons in text form (e.g. letter, e-mail) or by returning the goods. The period begins at the earliest on the day after receipt of the goods. To meet the cancellation deadline, it is sufficient to send the cancellation or the goods on time. This right of withdrawal does not apply to contracts for the delivery of goods that we have manufactured based on your specifications or that were clearly tailored to your personal needs, of goods that have been partially or completely opened or used or that are not suitable for return due to their nature.
Best before date
The right of withdrawal applies in particular to goods whose best before date is reached within a period of less than 30 days from the delivery date. When managing the inventory, PANEON GmbH assumes that customers will cover their monthly requirements, meaning that the ordered goods still have one month left until the best-before date is reached.
Customers who order monthly will always be able to use goods within the shelf life. Customers who order for approximately two months: they accept to use goods that have expired 1-4 weeks on a case-by-case basis. PANEON GmbH assures from its own experience that goods that have expired for up to three months are good and usable (a six-month security period was taken into account).
Consequently, there is no right of withdrawal if a customer complains about goods due to a best-before date that expired later than 4 weeks after delivery. PANEON therefore recommends always covering the monthly requirement for freshness.
Consequences of revocation
In the event of an effective cancellation, the services received by both parties must be returned. If you cannot return the received service in whole or in part or only in a deteriorated condition, you are obliged to pay compensation. This does not apply if the deterioration is solely due to an inspection – as would be possible in a shop, for example. Furthermore, you can avoid compensation by not using the item as an owner and refraining from anything that would impair its value. You have to bear the costs of the return and also the risk of damage during the return transport. Items not suitable for parcel shipping are picked up from the customer.
9 Delivery and shipping costs / packaging
Shipping costs to Austria and Germany: The shipping costs stated in the current price lists apply and can be requested at office@paneon.net.
Packaging
All packaging materials can be disposed of in public collection containers. Packaging paper made from recycled material is used as filling material and can be recycled as waste paper. Environmentally friendly polyethylene and polypropylene are used as container material for care and nutritional supplement products during use and combustion.
The material used for products sold in tin cans is recyclable tinplate with a food-safe coating approved for heat treatment that meets all requirements and limit values for human products. PANEON recommends storing the cleaned cans in a space-saving manner by squeezing them (lying on their side with the heel of your shoe on them repeatedly) and sending them to metal recycling containers. The customer agrees to carry out all processes from receipt of the goods through daily handling to disposal at his own responsibility and risk.
Transport damage: Transport containers that are obviously severely damaged must be reported to the supplier immediately; if necessary, acceptance must be refused with reference to the damage and reported to PANEON GmbH immediately to the address: office@paneon.net. If damage is only apparent after the transport packaging has been opened, we ask you to photograph the damaged goods if possible, report them to office@paneon.net and make them ready for collection.
Complained goods that are not available for collection cannot be replaced. However, goods that are so badly damaged that they had to be disposed of for hygienic reasons will be replaced if they are documented by photo and sent to office@paneon.net. Minor damage such as minimal side dents in cans can hardly be avoided during longer transport routes and for this reason PANEON asks that these be accepted.
Severe deformations that affect the edge of the can and in particular the fold of the quick-release fastener must be reported immediately using photographic evidence and made available for collection. 10 Customer, Advantage Customer, Consultant:
Every buyer of goods from PANEON GmbH who submits an order form, complete data by telephone or email or through the mediation of a consultant (also called a “supervisor” or “partner” or „sponsor“) becomes a customer of PANEON GmbH.
The advisor has the status of recommender. By ordering goods, in whatever way, the new customer declares his agreement to these general terms and conditions and the data protection declaration of PANEON GmbH.
Every customer registered with Paneon has the opportunity to order quickly and conveniently via the PANEON homepage via the web shop; they receive the access data automatically when they register or, if necessary, upon request.
Advantage customer (also called “promoter”)
Every customer who successfully recruits friends (always with the help of the supervisor, their team leader, or the PANEON Office) can receive promotional gifts, such as credits, depending on the size of the order(s).
Partner (“supervisor, consultant, sponsor”)
If a customer submits an application for a partnership, it is suspended until it is accepted by PANEON due to:

* Complete submission of the requested personal data
* Successful qualification according to the commission plan
Until the application is accepted, the future consultant has the status of a customer; if a customer is successfully recruited, the level of the Advantage Customer applies.
Application form
The application can be made via an application web form or informally by email. It must undoubtedly contain an expression of intent to be a consultant for PANEON on the basis of the General Terms and Conditions. Furthermore, the applicant’s name, age, integrity and health must be completed. This is data that goes beyond the information that customers use to register: last name, first name, date of birth, place of residence, sex, citizenship. You must provide a photo or copy of a travel document confirming your personal information.
Regarding the serious, credible, and reliable appearance of PANEON consultants toward customers and other consultants in the team, further requirements must be met:
a) integrity and b) illnesses, in particular addictions or mental illnesses or other illnesses that could constantly or occasionally impair one’s serious demeanor, ability to drive or sanity due to the clinical picture or the medication used.
If this information is initially incomplete, it can be provided within three months. The cleanliness and freedom from debilitating illnesses must be stated on oath, but PANEON can request a corresponding document or proof in case of doubt. Untrue information of any kind, including a different date of birth or a different name than in the official travel document, can lead to the loss of the status of the consultant in such a way that the consultant never existed because the requirements were never met. Therefore, in this case, donations such as documents, products, seminar costs, credits or commissions could also be reclaimed from PANEON.
A special contract can be concluded for managers to receive incentives, commissions or other benefits that go beyond the normal commission plan.
The contract is concluded for an indefinite period of time and can be terminated by either side on the first of the next month without giving reasons. However, the contract can also be terminated with immediate effect for good cause.
An important reason exists if there is imminent danger that the reputation or business success of PANEON GmbH is at risk. The assessment is made by the company management in cooperation with representatives of the independent sales partners. The decision lies in the hands of the management; recourse to ordinary courts is expressly excluded by all those involved. Nevertheless, it is the intention and obligation of the management to always strive for a solution, even in cases of doubt, that allows the contract to be maintained and a cooperation that benefits everyone involved to continue.
11 Legal status of partners
Consultants can carry out their tasks as an occasional hobby or hobby as long as there is no intention to make a profit and the additional income, which consists of commissions minus expenses (travel costs, telephone costs, test products, training courses), is within the scope of the additional income limits applicable to their place of residence and outside of the local reporting requirements.

Every consultant is responsible for providing information regarding their personal additional income limits and ensuring compliance with their legal requirements, authorizations and taxes.
If the resulting income is significantly higher, reporting is mandatory in most cases. A trade license may be required, except for activities that constitute a so-called “free trade”. In Austria, this is the case in the areas of recruiting, training and coaching (as of 2014).
In Austria, the Chamber of Commerce, “Direct Sales” section is responsible for typical brokerage activities and must be contacted to issue a corresponding trade license.
Under no circumstances is a trade license required for the occasional recommendation activity that a customer carries out. Where the presentation of the goods and any conclusion is carried out by another person or is carried out online. Because in this case there is no intention to make a profit.
For Germany, the “trading agent” trade license is recommended (as of 2014).
12 Obligations of the partner, consultant:
First of all, it is mandatory for every consultant to fulfill the registration requirements and maintain them. Therefore, if circumstances in life change (e.g. integrity) that contradict or restrict the requirements, these must be reported and the advisory service may have to be terminated.
Furthermore, the partner is obliged to comply with the guidelines of PANEON GmbH, which include acting for the benefit of PANEON GmbH, the customers served, and the entire advisory staff of PANEON GmbH.
Any violation of these requirements, i.e. behavior that damages your reputation or damages your business towards the public, customers, or other consultants, can be viewed as a reason to revoke your status as a special customer or consultant.
The management of PANEON GmbH reserves the right to make this decision, but undertakes to always weigh this up in consultation with the responsible team leaders, in accordance with the principle that every person (depending on the severity of the incident and the evidence) is given a second chance if possible.
Consultants receive additional benefits, gratuity, and, most importantly, commissions according to the compensation or commission plan in effect for the relevant billing period.
With this status, consultants acquire not only rights but also obligations:
He/she must personally ensure that the data of a customer or consultant he/she has referred is correct and report any irregularities to the PANEON office. Consultants or customers whose personal data turn out to be incorrect (whether caused by gross negligence or intention) can have their advantage customer or consultant status retroactively revoked and the return of the unlawfully acquired benefits and benefits can be demanded.
Obligation to ensure the accuracy of data
It is also the consultant’s duty to inform new customers and partners about the terms and conditions in writing or via the homepage address, to ensure their consent and, if necessary, to testify to this to PANEON GmbH.
Duty of honesty and conscientiousness

Duty of loyalty to PANEON
A consultant will never present a competitor’s product or another company as such to customers, advantage customers or consultants of PANEON GmbH as being better or more advantageous in comparison to PANEON.
A consultant is allowed to advertise other products or companies, but only to his own new contacts who he has not met through working for or with PANEON.
This applies in particular to contacts, customers, advantage customers or consultants who he has gotten to know through PANEON-specific events, training courses or meetings or who have been made available to him for processing or support directly by PANEON consultants or via PANEON.
Likewise, he is not allowed to advertise other products or companies to people who are customers, advantage customers or consultants of PANEON GmbH, neither directly nor indirectly.
Consequences if infidelity or damage occurs
Depending on the severity and frequency, non-compliance with these rules can lead to a warning, partial or complete reduction of commissions on a temporary or permanent basis, or even termination or termination without notice for good cause. The decision on this lies with the management of PANEON GmbH; consultants expressly waive the right to appeal to ordinary courts.
In the event of disagreements regarding the affiliation of customers and partners, he/she will always respect the decision made by the management in consultation with the responsible team leaders after hearing from all those involved.
In matters of commission payments, he/she agrees that the payments are made in accordance with the currently set point values, percentages and qualification rules, which are calculated by the management in accordance with the available trading margin and additional costs, so that in the long term the well-being of the advisor is ensured by the stability and the security of the company is guaranteed.
He/she accepts incentives as specifically introduced, monthly variable instruments to reward special hard work and outstanding performance beyond the compensation plan and to promote activities that serve the growth and stability of the sales team.
PANEON GmbH undertakes to always balance the amount of commissions within the scope of business needs within the framework of the resources available for the benefit of the consultant.

13 Final provisions
The law of the Federal Republic of Austria applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory provisions of the country in which the customer has his habitual residence remain unaffected.
If the customer is a merchant, the place of performance is the registered office of PANEON GmbH.
If the customer is a merchant, a legal entity under public law or a special fund under public law, or does not have a general place of jurisdiction in Germany, or moves his place of residence abroad after the contract has been concluded, or if his place of residence is not known at the time the action is filed, the place of jurisdiction is the registered office of PANEON.
If individual provisions of these terms and conditions are ineffective or contradict the legal regulations, this will not affect the rest of the contract. The invalid provision will be replaced by the contracting parties by mutual agreement with a provision that comes closest to the economic meaning and purpose of the invalid provision in a legally effective manner.
